Quotations报价

Quotations are based on the specification supplied and are valid for the period stated on the quotation. Changes to fabric, print, construction, quantity or packing may change the price, and we will re-quote before proceeding.报价基于所提供的规格，有效期以报价单上载明为准。面料、印刷、工艺、数量或包装的变更可能改变价格，我们会在继续前重新报价。

Samples and approval样品与确认

Bulk production starts only after written approval of the pre-production sample. The approved sample is sealed and is the standard against which the bulk is inspected.大货仅在产前样获书面确认后开始。确认样封存，作为大货检验的标准。

Orders and payment订单与付款

Quote-based orders are confirmed by a countersigned proforma invoice. Standard terms are a deposit on order confirmation with the balance due against a copy of the bill of lading, unless agreed otherwise in writing. For products expressly marked as available for online purchase, an order is accepted only after our server validates the current product, specification, MOQ, price version and total, PayPal confirms a completed capture, and we issue an order reference. A cart, PayPal approval or pending payment is not by itself acceptance.询价订单以会签的形式发票确认。标准条款为下单确认时付定金、余款见提单副本支付，另有书面约定的除外。对于明确标示可在线购买的产品，只有在服务器验证当前产品、规格、MOQ、价格版本及总额，PayPal 确认扣款完成，并由我们签发订单编号后，订单才被接受。购物车、PayPal 授权或待处理付款本身不代表订单已被接受。

Online prices, tax and shipping在线价格、税费与运费

The checkout total shown immediately before payment is the amount submitted to PayPal and identifies the currency and any shipping or tax included in that transaction. Import duty, customs charges, local use tax or destination charges not expressly included remain the buyer’s responsibility. If a price, MOQ, specification, stock position, shipping rule or tax treatment changes before capture, we may stop checkout and ask you to review a revised total; we will not silently charge a different amount.付款前结算页显示的总额即提交给 PayPal 的金额，并会标明币种及该笔交易所包含的运费或税费。未明确包含的进口关税、清关费用、当地使用税或目的地费用由买方承担。如果价格、MOQ、规格、库存、运费规则或税务处理在扣款前发生变化，我们可能暂停结算并请你确认更新后的总额；我们不会在未提示的情况下扣取不同金额。

PayPal payments and interrupted statusPayPal 付款与中断状态

PayPal processes online payments under its own terms. If checkout is interrupted after approval, do not submit a second payment: use the order-status check or contact us so the original transaction can be reconciled. A payment is treated as completed only when our server verifies PayPal’s completed order, capture, amount, currency, merchant and internal references.PayPal 根据其自身条款处理在线付款。如果付款授权后结算中断，请勿再次付款；请使用订单状态查询或联系我们，以便核对原交易。只有在服务器核验 PayPal 已完成的订单、扣款、金额、币种、收款商户及内部引用后，付款才被视为完成。

Cancellation, refunds and payment disputes取消、退款与付款争议

Contact us promptly if you need to cancel or change an order. Custom materials, approved samples and production already started may be non-cancellable or subject to documented costs. For a verified defect, shortage, duplicate capture or other agreed refund, the remedy and amount will be confirmed in writing and any electronic refund will normally be returned through the original PayPal transaction. Processing time after we issue a refund is controlled by PayPal and the buyer’s funding provider. Nothing here limits rights that cannot lawfully be excluded. Please contact us before opening a PayPal dispute so we can investigate, without affecting any deadline imposed by PayPal or applicable law.如需取消或变更订单，请尽快联系我们。已经采购的定制材料、已确认的样品及已经开始的生产可能无法取消，或需承担有凭据的实际成本。对于经核实的缺陷、短缺、重复扣款或双方同意的其他退款，处理方式和金额将书面确认；电子退款通常通过原 PayPal 交易原路退回。我们发起退款后的到账时间由 PayPal 及买方资金提供方决定。本条款不限制依法不得排除的权利。建议在发起 PayPal 争议前先联系我们调查，但这不影响 PayPal 或适用法律规定的任何期限。

Tolerances公差

Handmade and cut-and-sew goods carry normal industry tolerances in dimensions, shade and print position. These are stated on the quotation and inspected against the sealed sample.手工与裁缝类产品在尺寸、色差与印花位置上存在行业正常公差。这些会在报价单上载明，并对照封样检验。

Intellectual property知识产权

You warrant that artwork and designs you supply are yours to use. Content, drawings and photography on this site are ours; please do not reuse them without written permission.你保证所提供的图稿与设计有权使用。本站的内容、图纸与摄影归我们所有；未经书面许可请勿再利用。

Liability责任

We stand behind our workmanship. Beyond the value of the goods themselves, we accept no liability for indirect or consequential loss.我们对自己的做工负责。除货物本身价值外，我们不承担间接或后果性损失的责任。

Jurisdiction管辖

These terms are governed by the laws of the People’s Republic of China. Disputes go first to a conversation, then to the courts of Wenzhou.本条款受中华人民共和国法律管辖。争议先行协商，再诉诸温州法院。
